The Board of Directors at its Meeting held on 30th July 2021 has inter alia, approved the Unaudited Standalone and Unaudited Consolidated Financial Results of the Company for the quarter ended 30th June 2021.

The said Unaudited Consolidated Financial Results in the prescribed format were published in the Financial Express (English) and Sakal (Marathi) on 1st August 2021. A copy of the results published is attached herewith. These are also being made available on the website of the Company at www.nelco.in.

The Company vide its letter dated September 1, 2017 informed the stock exchange about the approval of the Board of Directors to

(i) transfer by way of slump sale on a going concern basis, for a lump sum consideration to its wholly owned subsidiary, Nelco Network Products Ltd (NNPL) of the following:

(a) Integrated Security and Surveillance Solution ('ISSS') business and

(b) Very Small Aperture Terminals (""VSAT"") hardware business and allied services consisting of network management, project management, infrastructure services, turnkey solutions for satellite communication systems, and co-location services to customers other than Tatanet Services Ltd (TNSL); and

(ii) the amalgamation of TNSL with the Company, through a composite scheme of Arrangement and Amalgamation (Proposed Scheme).

The Proposed Scheme has been approved by National Company Law Tribunal ('NCLT') on November 2, 2018. During the quarter the Company has received approval from Department of Telecommunications (DoT) on June 9, 2021

Since, the above reorganisation is between the Company (holding company) and its two wholly owned subsidiaries, this has no implication on consolidated financial results of the Company along with its wholly owned subsidiaries

2 As a part of transition to Goods Services Tax (GST) in June 2017, the Company carried forward the Cenvat/Service tax/Sales tax input credit balance of Rs 31 Lakhs as on June 30, 2021 for future set-off against GST payable. However, due to technical glitch on the GSTN portal, the Company could not file the Tran 1 Form within the prescribed period including the extended filing period. A writ petition filed by the Company in the Hon'ble High Court of Bombay for allowing the carry forward of the input credit balances was dismissed vide its order dated March 20,2020. Thereby the petition and the claim of the Company of Rs. 31 Lakhs was disallowed. The Company has filed Special Leave Petition in Hon'ble Supreme Court and which is admitted by Supreme Court. Similar writ petition filed by subsidiary which merged with the Company for claim of Rs. 85 Lakhs with Hon'ble High Court of Bombay is pending for hearing. In view of the multiple judgements by various High Courts in India on this matter which supports the Company's claim and based on the advice received from independent legal counsel, the Company expects to recover this input credit balance. In view of this, no provision has been made in the books of account against the recoverability of these balances.

सूचना : -

१. कंपनीने आपले पत्र दिनांकित १ सप्टेंबर २०१७ च्या अनुसार संचालक मंडळाने दिलेल्या खालील मान्यतांची माहिती स्टॉक एक्स्चेंज यांना दिली आहे.

१) आपल्या स्वतःच्या मालकीची उपकंपनी असलेली नेल्को नेटवर्क प्रॉडक्ट्स लिमिटेड (एनएनपीएल ) यांचे एकत्रित मूल्याकरिता विद्यमान स्थिती तत्त्वावर एकत्रित विक्रीच्या माध्यमातून खाली नमूद केल्याप्रमाणे हस्तांतरण:

ए) इंटिग्रेटेड सिक्यरिटी अँड सर्व्हिलन्स सोल्युशन्स (आयएसएसएस) व्यवसाय व

.बी) व्हेरी स्मॉल अपेर्चर टर्मिनल्स (व्हीसेंट) हार्डवेअर बिझनेस आणि अन्य सेवा ज्यात नेटवर्क व्यवस्थापन, पायाभूत सुविधा सेवा, सॅटेलाईट कम्युनिकेशन सिस्टीमकरिता टर्नकी सोल्युशन्स आणि ग्राहकांना टाटानेट सर्व्हिसेस लिमिटेड (टीएनएसएल) व्यतिरिक्त को लोकेशन सेवा. व

२) कंपोझिट स्कीम ऑफ अरेंजमेंट अँड अमल्गमेशन्सच्या माध्यमातून टीएनएसएलचे कंपनीत विलीनीकरण (प्रस्तावित योजना). प्रस्तावित योजनेला राष्ट्रीय कंपनी कायदा लवाद (एनसीएलटी) यांनी २ नोव्हेंबर २०१८ रोजी मान्यता दिली असून दळणवळण विभागाची (डीओटी) अनुमती प्राप्त झाली आहे.

ज्याप्रमाणे वरील पुनर्रचना जी कंपनी (होल्डिंग कंपनी) आणि तिच्या संपूर्ण मालकीच्या उपकंपन्यांत आहे, त्याचा कंपनीच्या तसेच तिच्या स्वतःच्या मालकीच्या उपकंपन्यांच्या एकत्रित वित्तीय निकालांवर कोणताही परिणाम झालेला नाही.

जून २०१७ मध्ये वस्तू आणि सेवा कर (जीएसटी) कडे रूपांतरणाचा एक भाग म्हणून कंपनी आणि तिच्या उपकंपन्यांनी सेनव्हॅट/ 3. सेवाकर/ विक्री कर इनपुट क्रेडिट बॅलन्स देय जीएसटीसाठी भविष्यकालीन सेट ऑफ म्हणून कॅरी फॉरवर्ड केला होता. तथापि जीएसटीएन पोर्टलवर झालेल्या तांत्रिक चुकीमुळे, कंपनी आणि तिच्या उपकंपन्या ट्रॅन १ फॉर्म निर्धारित कालावधीत सादर करण्यासाठी दिलेल्या वाढीव कालावधीत सादर करू शकल्या नाहीत. कंपनी आणि तिच्या उपकंपन्यांनी यासंदर्भात मुंबई उच्च न्यायालयात या संदर्भात दाद मागितली असून इनपुट क्रेडिट बॅलन्स कॅरी फॉरवर्ड करण्यास मान्यता देण्याची मागणी केली आहे. मात्र आदेश दिनांकीत २० मार्च २०२० अनुसार याचिका फेटाळण्यात आली असून कंपनीचा दावा अमान्य करण्यात आला आहे. त्याअंतर्गत याचिका व रु. ३१.०० लाख रुपयांचा कंपनीचा दावा फेटाळण्यात आला.

कंपनीने सन्माननीय सर्वोच्च न्यायालयात विशेष अनुमती याचिका दाखल केली आहे. जी सर्वोच्च न्यायालयाद्वारे स्वीकारण्यात आली आहे. याच प्रकारची पुनर्याचिका कंपनीसह विलीन झालेल्या उपकंपनीद्वारे रु. ८५.०० लाख रुपयांच्या दाव्याकरिता सन्माननीय मुंबई उच्च न्यायालयात दाखल करण्यात आली होती जी सुनावणीसाठी प्रलंबित आहे. यासंदर्भात भारतातील विविध न्यायालयांनी दिलेले विविध निकाल लक्षात घेता जे कंपनीच्या दाव्याला पाठिंबा देणारे आहेत आणि स्वतंत्र विधी तज्ज्ञांच्या सल्ल्यानुसार आहेत कंपनी इनपुट क्रेडिट बॅलन्स प्राप्त करण्यासाठी आशावादी आहेत, त्याचा विचार करता या बॅलन्सच्या वसुलीसंदर्भात हिशेब पुस्तिकांत कोणतीही तरतूद करण्यात आलेली नाही.
