Nel ASA: Notice of Annual General Meeting 2020

(Oslo, 22 April 2020) Nel ASA (Nel, OSE: NEL) calls for its annual general

meeting to be held at Karenslyst allé 20, 0278 Oslo, Norway on 13 May 2020 at

10:00 (CET).

Please find here attached the convening notice, the proposal from the nomination

committee in Nel ASA for the annual general meeting, and statement of the board

regarding compensation to leading employees. Relevant documents referred to in

the notice and link for registration are made available on www.nelhydrogen.com.

Due to the extraordinary situation with Covid-19, and in light of prevailing

meeting recommendations and restrictions, the Board urges shareholders to vote

through submission of proxy forms or electronically prior to the meeting and not

attend the meeting in person.
