DISCLOSURE OF SHARE SALE BY PRIMARY INSIDERS - TTS GROUP ASA

Reference is made to the announcement on 23 November 2015 concerning the

acquisition by Skeie Technology AS of in total 13.725.884 shares in TTS Group

ASA from companies owned and controlled by other members of the Skeie-family in

an off-exchange transaction at a price of NOK 3.48 per share (market close on

Friday 22 November). Skeie Technology AS owns 22 655 763 in TTS Group ASA post

this acquisition.

The sellers included Tamafe Holding AS with 2 160 735 shares. This company is

owned and controlled by Trym Skeie, board leader of TTS Group ASA. Tamafe

Holding AS has no longer any shares in TTS Group ASA. Trym Skeie owns 323.140

shares directly and 250.000 shares indirectly through 100% owned Skeie Alpha

Invest AS, corresponding to 0,65 % of the total outstanding shares in TTS Group

ASA. In addition Skeie Alpha Invest AS holds the convertible bonds issued by TTS

Group ASA in the amount of NOK 4 million.

The sellers also included Skeie Consultants AS with 953 033 shares. This company

is owned and controlled by Bjarne Skeie, board member of TTS Group AS. Skeie

Consultants AS owns 300 000 in TTS Group ASA post this sale. Bjarne Skeie,

through Skeie Consultants AS, Skeie Technology AS and Skeie Capital AS owns in

total 31,36 % of the shares in TTS Group ASA, and convertible bonds issued by

TTS Group ASA in the amount of NOK 6 million.

The sellers also included Lesk AS with 5 306 058 shares. The company is owned

and controlled by members of the Skeie-family. Post this sale, Lesk AS, has no

shares in TTS Group ASA.

The sellers also included Stisk AS with 5 306 058 shares. The company is owned

and controlled by members of the Skeie-family. Post this sale, Stisk AS, has no

shares in TTS Group ASA.
