Description	NCT ALLIANCE BERHAD ("NCT" OR "THE COMPANY") - PROPOSED ACQUISITION BY NCT PANORAMA SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY, OF 1,785,000 ORDINARY SHARES IN SETARA JUARA SDN. BHD. (NOW KNOWN AS NCT MARINA BAY SDN. BHD.) ("SJSB"), REPRESENTING 51% EQUITY INTEREST IN SJSB FOR A TOTAL PURCHASE CONSIDERATION OF RM22.0 MILLION ("PROPOSED ACQUISITION")
Reference is made to the Company's announcements dated 19 March 2025 and 28 March 2025 in relation to the Proposed Acquisition ("Announcements"). Unless otherwise defined in this announcement, all abbreviations used in this announcement are defined in the Announcements. Based on the terms of the SSA, the Vendors shall fulfil the conditions precedent under the SSA within twelve (12) months from the date of the SSA with an extension of a further two (2) months from the expiry of the conditions precedent period ("Conditional Period"). Further to the above, the Company wishes to announce that the Parties have mutually agreed to extend the Conditional Period for a further period of four (4) months, from 19 May 2026 up and until 19 September 2026 for the Vendors to fulfil the remaining conditions precedent pursuant to the terms of the SSA. For avoidance of doubt, all other terms and conditions of the SSA remain unchanged. This announcement is dated 18 May 2026.
