Sub: Scheme of Arrangement for Merger of Vaidehi Avenues Limited and Aster Rail Private Limited with NCC Limited - Update

This is in continuation of our letter dated September 18, 2021 with NCLT Order approving the Scheme of Arrangement for Merger of Vaidehi Avenues Limited (Transferor Company-1) and Aster Rail Private Limited (Transferor Company-2) with NCC Limited (Transferee Company). As per the Scheme and consequent to filing & approval of necessary returns (Form INC-28 & Form MGT-14) with the Registrar of Companies, Hyderabad, the Main Object Clause and Capital Clause of the Memorandum of Association of the Company have been amended in the following manner:

Clause III.A: Main Objects: Addition of Clause 14 & 15 after Clause 13:

• '14. To carry on the business of designing, manufacturing, erecting, installation, commissioning, importing, exporting, buying, selling, exchanging, distributing, repairing and servicing of Railway Signalling, Telecommunication Equipment any other Equipment related to Railways and Train Control Systems.
• 1. To carry on the business of development of Geographical Information System, Railway Signalling Software and other Software related to railways.'

Clause V: Increase of Authorised Share Capital from Rs.150,00,00,000 consisting of 75,00,00,000 Equity Shares of Rs. 2/- each to Rs.161,50,00,000/- consisting of 80,75,00,000 Equity Shares of Rs. 2/-:

'(a) The Authorised Share Capital of the Company is Rs. 161,50,00,000 (Rupees One Hundred and Sixty one Crore and Fifty lakhs only) divided into 80,75,00,000 (Eighty Crores Seventy Five lakhs) Equity Shares of Rs.2/- (Rupees Two Only) each.'
