Sub: Outcome of the Board Meeting

This is to inform you that the Board of Directors of the Company at its meeting held today i.e., September 14, 2024:

1. Elected Dr. A S Durga Prasad (DIN: 00911306) Independent Director, as the Chairman of the Board with effect from September 25, 2024, as the term of appointment of Sri Hemant M Nerurkar (DIN: 00265887), Independent Director (Chairman) ends on September 24, 2024. A brief profile of Dr. Durga Prasad is enclosed as Annexure A.

2. Approved the appointment of Sri Sisir K Mishra (FCS 8555) as Company Secretary & Compliance Officer and a Key Managerial Personnel of the Company with effect from October 1, 2024 in place of Sri M V Srinivasa Murthy, Company Secretary & Compliance Officer, who will be superannuating on September 30, 2024. The details as required under Regulation 30 of the SEBI (LODR) Regulations, 2015 is enclosed as Annexure B.

The Board of Directors places on record valuable contributions made by Sri Hemant M Nerurkar and Sri M V Srinivasa Murthy during their tenure in the Company.

The Meeting commenced at 05.15 p.m. and concluded at 6.15 p.m.

Profile of Dr A S Durga Prasad (DIN:00911306)

Dr A S Durga Prasad is a Fellow Member of the Institute of Cost Accountants of India and holds a PhD. He has four decades of expertise in Financial and Cost Management across various sectors, including Pharmaceuticals and IT.

Dr. Durga Prasad has served as the President of the Institute of Cost Accountants of India (ICAI), also known as the Institute of Cost and Works Accountants of India (ICWAI). He was a Member of Company Law Committee, Ministry of Corporate Affairs.

Dr. Durga Prasad was appointed as an Independent Director on the Board of NCC Limited for the 2[nd] w.e.f 23[rd] May 2021.
