Book Closure

Pursuant to Section 91 of the CompaniesAct, 2013 read with Rule 10 of the Companies (Management and Administration) Rules, 2014 and other applicable provisions if any, the Register of Members and the Share Transfer Books of the Company will be th th closed from Monday, 9 August, 2021 to Friday, 13 August, 2021 (both days inclusive) for annual closing and for determining the entitlement of the shareholders for the dividend to be declared in theAGM.

Remote e-Voting and e-Voting at theAGM

In compliance with the provisions of Section 108 of the Companies Act, 2013, Rule 20 of the Companies (Management and Administration) Rules, 2014, Secretarial Standard on General Meetings (SS-2) and Regulation 44 of the SEBI (LO&DR) Regulations, 2015 the facility for remote e-voting and e-voting during the AGM in respect of the business to be transacted as per the Notice is being provided by the Company through KFintech. The cut-off date for the purpose of determining eligibility th of members for e-voting is Friday, 20 August 2021. The detailed procedure and instructions for remote e-voting are mentioned in theAGM Notice.

The remote e-voting shall commence at 09:00 hrs. (IST) on 24 th th August 2021 and end at 17:00 hrs.(IST) on 26 August 2021.

Remote e-voting shall not be allowed beyond the aforesaid date and time and the e-voting module shall be disabled by KFintech upon expiry of aforesaid period. Members, who have cast their votes by remote e-voting may also attend the AGM through VC / OAVM. Members who have not cast their vote on the resolutions through remote e-voting and are otherwise not barred from doing so, shall be eligible to vote through e-voting during theAGM.
