Exercise of Share Options
Director / PDMR Dealing
NCC Group plc (LSE: NCC) received notification on 8 July 2016 that on the same day the Directors/Persons Discharging Managerial Responsibilities ("PDMRs") listed below were awarded, in total, 150,385 ordinary shares of 1 pence each in the Company ("Ordinary Shares") by the trustees of NCC Group Employee Benefit Trust ("EBT") pursuant to options granted to them under the Company's Long Term Incentive Plan. The aggregate exercise price paid by each Director/PDMR in relation to all options exercised by them was £1. The Company has transferred 116,714 Ordinary Shares from Treasury to the trustees of the EBT to satisfy the exercise of the options in part.
On 12 July 2016, the trustees of the EBT sold 70,824 Ordinary Shares on behalf of these Directors/PDMRs at a price of 297 pence per Ordinary Share to satisfy the costs of the income tax, national insurance and other liabilities arising on the exercise of the options.
As a result of the exercise of their respective options and the subsequent sale of Ordinary Shares mentioned above, the following Directors/PDMRs are net acquirers of Ordinary Shares and their shareholdings are set out below:
