Dear Sir / Madam,

With reference to the captioned subject and further to our disclosure dated December 30, 2025, and in compliance with Regulation 30 read with Schedule III of Listing Regulations, and pursuant to the Share Purchase Agreement dated May 24, 2024 (including addendum thereto)(“SPA”) executed amongst the Company, Next Wave Multimedia Private Limited (“Nextwave”), a subsidiary of the Company, and Mr. P.R Rajendran, Ms. R Kalpana and Ms. P.R Jayashree, the existing promoter - founder shareholders of Nextwave (collectively referred to as “Founding Shareholders/Sellers”), as referred to in our above communication, we wish to inform you that, i.e. on March [.], 2026, the Company has acquired 4,188 equity shares of INR 100/- each, representing 12.56% of the equity share capital of Nextwave, from the Sellers, upon payment of an aggregate consideration of INR 7,50,08,955/-.

Consequent to the aforesaid acquisition, the Company’s equity shareholding in Nextwave has increased from 87.44% to 100% and accordingly, Nextwave has become a wholly owned subsidiary of the Company.
