Event:	Entry into an agreement with Bank Hapoalim B.M and Feit Synergy Ltd. for the establishment of a joint venture

1.	Further to the immediate report published by the Company on March 15, 2022 (reference no. 2022-01-030259) (the "Previous Report") regarding the entry by the Company into a non-binding term sheet with Bank Hapoalim B.M and Feit Synergy Ltd. (the "Parties" and the "MOU") for the purpose of creating a joint venture through which the Parties shall establish and operate an innovative international platform, which shall provide financing options for small and medium businesses for acquiring income generating IoT products, the Company hereby announces that on June 9, 2022, the Parties entered into a binding agreement, based on the material principles included in the MOU, as detailed in the Previous Report
