Methodology of Convening the General Assembly’s Meeting Via modern technology means
Attendance Eligibility, Registration Eligibility, and Voting End The eligibility to attend the Meeting will be for shareholders registered in the Company shareholders register at the Depository Center as of the end of trading session prior to the meeting day as per the rules and regulations.
Quorum for Convening the General Assembly's Meeting According to Article 31 of the company’s bylaw, the validity of the Ordinary General Assembly meeting requires the presence of a number of shareholders representing at least one-quarter (25%) of the company’s capital at the first meeting. A second meeting will be held one hour after the first meeting (in the event that the quorum is not met for the first meeting), and the second meeting will be valid regardless of the number of shares represented.
General Assembly Meeting Agenda 1. Review and discuss the Board’s report for the fiscal year ending on 31/12/2025.

2. Review and discuss the Company’s consolidated financial statements for the fiscal year ending on 31/12/2025.

3. Discussing and Voting on the auditor’s report on the Company’s accounts for the fiscal year ending on 31/12/2025.

4. Voting on the appointment of the external auditor, based on the recommendation of the Audit Committee; to examine, review and audit the financial statements for the second and third quarters as well as the annual statements for the fiscal year 2026 and for the first quarter of the year 2027, and to determine the auditor’s fees.

5. Voting on the business and contracts concluded between National Industrialization Petrochemicals Marketing Co. (TASNEE subsidiary company) and Non-Woven Industrial Fabrics Company, in which the Former Chairman of the Board Eng. Mubarak Abdullah Al-Khafrah has an indirect interest. The transactions include various purchase orders for polypropylene materials. The total purchase during the fiscal year 2025 amounted to SAR 28,006,218.59 and there are no preferential conditions (attached).

6. Voting on the business and contracts concluded between National Industrialization Petrochemicals Marketing Co. (TASNEE subsidiary company) and Astra Polymer Compounding Company, in which the Board Member Mr. Mohammed Abdullah Al-Hagbani has a direct interest. The transactions include purchase orders for polypropylene and polyethylene materials. The total purchase during the fiscal year 2025 amounted to SAR 204,785.63 and there are no preferential conditions (attached).

7. Voting on authorizing the Board of Directors with the authority of the Ordinary General Assembly to grant the license stipulated in paragraph (1) of Article Seventy-One of the Companies Law, for a period of one year from the date of approval of the General Assembly or until the end of the term of the authorized Board of Directors, whichever is earlier, in accordance with the conditions stipulated in the regulatory controls and procedures issued in implementation of the Companies Law for listed joint-stock companies.

8. Voting on the discharge of the members of the Board of Directors for the fiscal year ended 31/12/2025.
