NASDAQ, INC. — Capital/Financing Update 2016

On May 23, 2016, Nasdaq filed a Form 8-K with the U.S. Securities and Exchange
Commission (the “SEC”) disclosing, among other things, the entry (i) by Nasdaq
and Wells Fargo Bank, National Association, as trustee, into a Third
Supplemental Indenture to the Indenture, dated June 7, 2013, between Nasdaq and
the trustee and (ii) by Nasdaq and Mizuho International plc, Skandinaviska
Enskilda Banken AB (publ), Wells Fargo Securities International Limited, HSBC
Bank plc and The Toronto-Dominion Bank, as the underwriters, into an
Underwriting Agreement. Both the Supplemental Indenture and Underwriting
Agreement relate to the sale by Nasdaq of €600 million aggregate principal
amount of Senior Notes due 2023.
