Narryer Metals Limited ( Narryer Metals or the Company ) ( ASX:NYM ) is pleased to announce the 100% acquisition of a portfolio of lithium focused, granted mining claims in the Archaean Superior Province of Canada (Figure 1) comprising five lithium projects ( Projects ). The Projects covering 124 km[2] in total, are in the James Bay (Quebec), Abitibi and NW Ontario regions. The much sought after tenure is in areas of active lithium exploration and mine development, and one of the most prospective critical minerals jurisdictions in the world. The new portfolio provides lithium exposure for the Company and complements other critical minerals (REE, Ni-Cu-PGE) the Company is currently exploring in Australia.
The global demand for lithium batteries is expected to surge more than five-fold by 2030[1] . A coming issue will be the supply of lithium to the nearby battery gigafactories planned and in operation in North America for coming years. Canada is supportive in creating a critical minerals industry and becoming a major global supplier, committing ~ $4 billion in the FY22 budget[2] to further develop the industry. The US Government are also supportive in intensifying nearby production and regard lack of

lithium supply a serious threat to national and economic security. Narryer sees exploring in Canada as low risk and supported jurisdiction to do its exploration business.
Fieldwork will soon commence, with evidence of outcropping pegmatites in proximity to known lithium mineralisation. This work includes compilation of data, geological interpretation, target generation and then follow up in the fieldwork in coming months. Successful identification of mineralisation will then dictate channel sampling or drilling to follow.

“Narryer Metals is excited about the acquisition of its lithium focussed projects in addition to the Company’s critical minerals portfolio. The Superior Province, Canada was historically underexplored for lithium pegmatite mineralisation but has now become a Tier 1 jurisdiction. This is particularly evident in the James Bay, Abitibi and NW Ontario regions, where there have been several discoveries in the past 2 years. There are lithium projects progressing from companies such as Sayona, Allkem, and Patriot Battery Metals, not far from the new Narryer Projects. The area has also been recognised by the majors, with Rio Tinto committed to exploring in the James Bay area, with a CAD$ 65 million option agreement to explore on ground of Midland Exploration[3] (TSX-V:MD) plus a recent second deal consisting of cash/expenditure with a value up to CAD$115.7 million for ground held by Azimut Exploration[4] (TSX-V:AZM). The new projects of Narryer are also close to a fast-developing battery industry in North America and geopolitically safe jurisdiction in Canada.
Work will now begin on targeting some of the intrusives identified in the early work and begin targeting areas for initial fieldwork in the coming month. This complements our ongoing work in Australia, with a drilling program next to commence at the Rocky Gully REE project.

PROJECT SUMMARY
The Projects comprises granted mining claims covering a total area of ~ 124km[2] in the James Bay, Abitibi and NW Ontario regions.
Three of the projects (Pontax East, Walrus Island and Le Moyne) are located in prospective Archean granite-greenstones of the James Bay region of Quebec, which contains the Corvette ( Patriot Battey Metals , ASX:PMT), Whabouchi ( Nemaska Lithium , TSE:NMX) James Bay ( Allkem , ASX:AKE) and Rose ( Critical Elements , TSX-V:CRE) lithium projects, with already combined > 100 Mt of lithium oxide Resource reported for the area (Figure 2).
The Eades Project is located in the Abitibi granite greenstone belt in the Kirkland Lake region of Ontario (Figure 2), ~ 200km west of the Abitibi Lithium Hub of Sayona Mining (ASX:SYA), which has a combined 75 Mt of resources and is currently in production[5] . The lithium target area of the Eades project is geologically similar to that of the Case Li-Cs Project of Power Metal Corp (TSX-V:PWM) , which is 15km northwest.
The Hailstone Project is the fifth area in Northwest Ontario, which covers granite-greenstones of the Confederation-Uchi Greenstone Belt of the Red Lake Mining District of NW Ontario, and near the Root Lithium Project (14.4 Mt @ 1.03 % Li20) of Green Technology Metals[6] (ASX: GT1). The Red Lake and nearby Thunder Bay Mining districts (Figure 3) have combined lithium oxide Resources of > 100 Mt.

The proximity of the Project to the other projects referred to above does not infer that the Company will be able to achieve similar exploration or mining success.
ACQUISITION TERMS
The Company has entered into a binding agreement (Acquisition Agreement) to acquire 100% of the issued capital of KAV Resources Pty Ltd ( KAV ), who has a 100% interest in several mineral claims comprising five lithium exploration properties located in Quebec and Ontario, Canada ( Projects ). KAV is majority owned by the Horley Pty Ltd.
The Initial Consideration for the acquisition of the Projects comprises:

A$75,000 cash payment;
-
5 million fully paid ordinary shares in the Company ( Shares ) (escrow for 12 months) ( Consideration Shares )
-
2.5 million options to acquire Shares, exercisable at $0.30, expiry 3 years ( Consideration Options ); and
-
1.5% net smelter return royalty (NSR) from revenue generated from the production of lithium and 2.5% from revenue generated from production of minerals other than lithium.
The Deferred Consideration for the acquisition of the Projects, which is dependent on exploration success comprises:

7.5 million Shares on trenching or drill results returning a minimum 5m at 1.0% Li20[14] on at least one Project within 1 year;

10 million Shares on delivery of 5 drill intersections returning at least 10m at 1.0% Li20[15] or higher within 2 years; and
-
10 million Shares following the delineation of a 10Mt JORC compliant Inferred Resource at no less than a grade of 0.9% Li20 within 5 years.
The Acquisition Agreement is subject to the Company obtaining all necessary regulatory, shareholder and third party approvals including shareholder approval for the issue of the Consideration Shares, Consideration Options and Deferred Consideration Shares at an upcoming Shareholder Meeting. Further details in respect to the acquisition of the Projects will be outlined in the Notice of Meeting to be sent to Shareholders. The Director representing 24.8% intend to vote in favour of these resolutions at the Shareholder Meeting.
Following Shareholder approval, Narryer Metals intends to commence fieldwork on the Projects, which is anticipated to be around August.
