Issue of Performance Rights and Shares

Nanosonics Limited (ASX: NAN) advises that 1,818,113 Fully Paid Shares have been issued to raise a total of $2,999,865 under the Share Purchase Plan that was announced on 13 March 2015. In accordance with ASX Listing Rule 3.10.5 the Appendix 3B relating to the Share Purchase Plan is attached.

Notice under Section 708A(5)(e)

As at 30 March 2015, Nanosonics Limited gives notice under section 708A(5)(e) of the Corporations Act 2001 (Corporations Act) that:

  • a) The Company issued the securities without disclosure to investors under Part 6D.2 of the Corporations Act.

  • b) The Company has complied with the provisions, as they apply to the Company, of Chapter 2M of the Corporations Act and with Section 674 of the Corporations Act; and

  • c) There is no information:

  • i. that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

  • ii. which investors and their professional advisors would reasonably require for the purpose of making an informed assessment of:

    • A. the assets and liabilities, financial performance, profits and losses and prospects of Nanosonics; or

    • B. the rights and liabilities attaching to Nanosonics securities.
