CONTENTS

This Report of Foreign Private Issuer on Form 6-K is being filed to update previously disclosed information regarding the shareholdings of our Chief Technology Officer and director, Sharon Fima. On March 23, 2017, Mr. Fima entered into a divorce settlement agreement pursuant to which Mr. Fima will be required to transfer 761,112 ordinary shares of Nano Dimension Ltd. to his ex-wife. Following the transfer of the shares, Mr. Fima will beneficially hold 1,205,481 ordinary shares, representing approximately 2.4% of our issued and outstanding share capital.
