Pursuant to Regulation 30 read with Para A of Schedule III of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we hereby inform that the Board of Directors of the Company at their Board Meeting held today on Tuesday, 16th day of February, 2021 at 5.00 P.M. at the registered office of the Company situated at G-13, Kartarpura Industrial Area, Near 22 Godam, Jaipur-302006, Rajasthan approved the following:
In terms of Special Resolution passed by the members of the Company on 20th January, 2021 and in accordance with the "in-principle Approval" granted by National Stock Exchange of India Limited (vide its Letter Ref. No. NSE/LIST/25907) dated 9th February, 2021, the Board of Directors of the Company have approved the allotment of 18,00,000 Equity Shares of face value of Rs. 10/- (Rupees Ten Only) each, at a price of Rs.17/- per equity share (including a premium of Rs. 7/- per Equity Share) to the promoter and promoter group of the Company on Preferential basis, the said issue is in accordance with SEBI (Issue of capital and Disclosure Requirements) Regulations, 2018 (amended from time to time).
The Meeting of the Board of Directors Commenced at 5:00 P.M. and Concluded at $5.30 P.M.$
