Hamblin Watsa Investment Counsel Ltd. (a wholly owned subsidiary of Fairfax Financial Holdings Limited) acts as the investment manager for each of the subsidiaries listed at section 4 above (the ''Shareholders'') and certain other subsidiaries of Fairfax Financial Holdings Limited. Pursuant to certain investment management agreements with the Shareholders, Hamblin Watsa Investment Counsel Ltd. has control and discretion over the voting rights attaching to the shares of Metlen PLC owned by the Shareholders. The Shareholders are direct or indirect subsidiaries of Fairfax Financial Holdings Limited.
