On 01.08.2025 Mr. Evangelos Mytilineos and entities controlled by him were issued ordinary shares in the capital of Metlen Energy & Metals PLC (the "Company") in exchange for the shares they held in Metlen Energy & Metals SA, following the conclusion of a voluntary share exchange tender offer conducted by the Company, as follows:

2. FREZIA LTD: 15,601,219 shares

3. KILTEO LTD: 15,118,330 shares

4. MELVET INVESTMENTS LTD: 57,757 shares

Both FREZIA LTD (Cyprus) and KILTEO LTD (Cyprus), are 100% controlled by ROCALDO LTD.

ROCALDO LTD (Cyprus) is 100% controlled by EMERGIA HOLDINGS LTD.

MELVET INVESTMENTS LTD (Cyprus) is also 100% controlled by EMERGIA HOLDINGS LTD.
