Regulatory announcement related to the voluntary share exchange offer

In accordance with Regulation (EU) 596/2014, Law 3556/2007, and the Athens Exchange Rulebook, the société anonyme under the name "Metlen Energy & Metals S.A." (the "Company") announces that, on June 25, 2025, the Board of Directors of the Company was informed by the English public limited company under the name "Metlen Energy & Metals PLC" ("Metlen PLC") regarding the submission of a voluntary share exchange offer for the acquisition of all the common registered shares, with a nominal value of €0.97 each, issued by the Company, which Metlen PLC does not hold directly or indirectly, in exchange for new ordinary shares issued by Metlen PLC in euros, in accordance with the provisions of Law 3461/2006, as in force (the "Tender Offer").

The Board of Directors of the Company will convene immediately in order to formulate, with the assistance of a financial advisor, its reasoned opinion regarding the Tender Offer, pursuant to Article 15 of the Law.
