THE ROCK BUILDING SOCIETY LIMITED - SCHEME OF ARRANGEMENT WITH MYSTATE LIMITED
Participating Organisations are advised that The Rock Building Society Limited (“the Company” or “ROK”) convened a meeting of shareholders on Monday, 28 November 2011 to consider the acquisition of the Company by MyState Limited (“MYS”) by way of scheme of arrangement (the “Scheme”), subject to court approval. The hearing for the Scheme is set for Thursday, 1 December 2011 in the Supreme Court of Queensland.
Following the necessary approvals having been obtained, the Scheme will be implemented on Monday, 12 December 2011. Under the terms of the Scheme, Company shareholders will receive 7.75 MYS shares for every 10 shares in ROK.
