Announcement to the Australian Securities Exchange
Implementation of merger of The Rock and MyState
The Rock Building Society Limited (The Rock) is pleased to announce that the merger of The Rock and MyState Limited (MyState) has today been implemented. Under the Scheme to effect the merger, all shares in The Rock have been transferred to MyState.
Consideration under the Scheme
In accordance with the Scheme, the New MyState Shares have today been registered in the names of Scheme participants and the New MyState Shares that would otherwise have been issued to Ineligible Foreign Shareholders have been issued to Baillieu Stockbroking Limited (or its nominee) as sale nominee. Holding statements for new MyState Shares are expected to be despatched on 14 December 2011. Trading in new MyState Shares is expected to commence on a normal settlement basis on 15 December 2011.
Directors of The Rock and MyState
As a result of the merger, the Directors of The Rock have resigned, with the exception of Chairman of The Rock, Mr Stephen Lonie and Mr John Gilbert, Managing Director of MyState, who was appointed to the Board of The Rock on 1 December 2011, and will continue as Directors as previously announced, Mr Lonie has been invited to join the board of MyState as a non-executive Director. Mr Lonie will commence in his role as Director of MyState today.
With The Rock now a wholly-owned subsidiary of MyState, new Directors have been appointed to The Rock today. Dr Michael Vertigan (Chairman, MyState) has joined the Board and will be Chairman of the new Board of The Rock along with The Rock’s new Directors, Peter Armstrong (Director, MyState), Robert Gordon (Director, MyState), Miles Hampton (Director, MyState), Colin Hollingsworth (Director, MyState), Ian Mansbridge (Director, MyState) and Sarah Merridew (Director, MyState).
Company secretary
Mr Paul Viney has been also appointed Company Secretary of The Rock.
