In accordance with the approval received from the Board of Directors at their meeting dated May 8, 2025, the Debenture Issue and Allotment Committee has considered and approved the issuance of NonConvertible Debentures on November 27, 2025. Pursuant to Regulation 30 and other applicable regulations of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that the Debenture Issue and Allotment Committee of Muthoot Microfin Limited in its meeting held on January 06, 2026, has allotted 75,000 (Seventy-Five Thousand) Senior, secured, rated, listed, redeemable, transferable non-convertible debentures (“Series B Debentures”),each having a face value of Rs. 10,000/- (Rupees Ten Thousand only) of the aggregate nominal value of up to Rs. 75,00,00,000/- (Rupees Seventy-Five Crores only) out of 1,50,000 (One Lakh Fifty Thousand) Listed, Rated, Senior, Secured, Transferable, Redeemable Non-Convertible Debentures (“NCDs”) involving 2 series ((“Series A Debentures” and “Series B Debentures”), on private placement basis.

The said allotment is within the limits approved by the Board of Directors at their meeting dated May 8, 2025.
