Munters' Annual General Meeting on April 22, 2010

At Munters' Annual General Meeting (AGM) today, April 22, 2010, at Ingenjörshuset in Stockholm, the proposals by the Board of Directors and the Nomination Committee were approved.

Adoption of the Profit and Loss Statement and the Balance Sheet

The AGM resolved to adopt the Statement of Income and the Balance Sheet as well as the Consolidated Profit and Loss account and the Consolidated Balance Sheet for the Group for 2009.

Dispositions concerning the Company's result

The dividend of SEK 1 per share proposed by the Board of Directors, was approved. The record day was set to Tuesday, April 27, 2010. Payment from Euroclear Sweden AB is expected to take place on Friday, April 30, 2010.

Discharge from liability of the Board of Directors and the Managing Director

The members of the Board of Directors and the Managing Director were discharged from liability for the financial year 2009.

Election of Board of Directors

In accordance with the proposal by the Nomination Committee, Anders Ilstam was re-elected as Chairman of the Board of Directors, Bengt Kjell was re-elected as Vice Chairman of the Board of Directors and Sören Mellstig, Eva-Lotta Kraft, Jan Svensson, Lars Engström, Kenneth Eriksson and Kjell Åkesson were re-elected as members of the Board of Directors.

Board of Directors' Fees

The AGM approved the Nomination Committee's proposal for unchanged fees to the directors elected by the AGM amounting to SEK 2,275,000 (including committee fees) to be distributed as follows. SEK 250,000 to each member elected by the AGM who is not employed by the Company and SEK 500,000 to the Chairman of the Board.

Committee work fees to the Committee members were approved on unchanged levels entailing that remuneration to members of Committees shall be paid as follows. Remuneration to the members of the Audit Committee shall amount to SEK 100,000 to the Chairman and SEK 50,000 to each of the other members and remuneration to the members of the Remuneration Committee shall amount to SEK 50,000 to the convener and SEK 25,000 to the other member.

Guidelines for remuneration to senior executives

In accordance with the Board of Directors' proposal, the AGM resolved to approve the guidelines for remuneration and other employment terms for senior management, principally entailing that the remuneration shall be in accordance with market conditions and have a pre-determined cap.
