Re: Effective Date for the Scheme of Arrangement amongst Mukand Sumi Metal Processing Limited (MSMPL) and Mukand Sumi Special Steel Limited (MSSSL) and their respective shareholders and creditors for demerger of Alloy Steel Business from MSMPL into MSSSL (Scheme of Arrangement)

Dear Sirs,

This is in furtherance to our letter dated 20[th] August, 2022, informing the receipt of certified copy of Order of National Company Law Tribunal, Mumbai Bench (NCLT) pronounced on May 12, 2022 as amended by corrigendum order dated 30[th] June, 2022, sanctioning the Scheme of Arrangement for demerger of Alloy Steel Business from MSMPL into MSSSL. Mukand Ltd holds 51% in each of MSMPL and MSSSL, whereas the remaining 49% is held by Sumitomo Corporation in each of MSMPL & MSSSL.

In this regard, please note that the aforesaid Scheme of Arrangement has become effective today, i.e. on 23[rd] August, 2022 upon filing of the aforesaid certified copy of Order of NCLT by MSMPL and MSSSL with the Registrar of Companies, Mumbai.
