Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 30, 2022, Bernard G. Rethore informed Mueller Water Products, Inc. (the “Company”) that he will retire from the board of directors (the "Board") of the Company effective at the conclusion of his current term of service, which will end at the Company’s annual meeting on February 7, 2023. Mr. Rethore has served on the Board since 2006 and as Chair of the Nominating and Corporate Governance Committee from January 2016 to September 2022. His decision to retire and not to stand for re-election was not the result of any disagreement with the Company or its management.

Mr. Rethore will remain a director and member of the Audit Committee, Nominating and Corporate Governance Committee, and Executive Committee through the date of his retirement. Relatedly, Lydia W. Thomas has assumed the role of Chair of the Nominating and Corporate Governance Committee. Dr. Thomas has been a member of the Board and Nominating and Corporate Governance Committee since 2008.

In connection with Mr. Rethore’s retirement, the Board plans to reduce the number of directors constituting the full Board from eleven to ten directors.
