Sub: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements), – Regulations, 2015 Resignation of Managing Director & Appointment of Mr. Arun Kumar Khetan as an Additional Director in the Category of Executive Director designated as Whole Time Director & continuing as the CEO

Pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, we wish to inform you that the Board of Directors of the Company vide Circular Resolution passed on April 23, 2020 inter-alia, considered following matters:

1. Mr. Arun Kumar Khetan was appointed as the Chief Executive Officer and Key Managerial Personnel of the Company at the meeting of the Company held on April 15, 2020. Accordingly, Based on the recommendation of Nomination & Remuneration Committee, the Board approved the appointment of Mr. Arun Kumar Khetan (DIN: 02744522) as an additional Director in the category of Executive Director designated as the Whole Time Director which shall be subject to approval of shareholders at the ensuing Annual General Meeting. He shall be continuing as the Chief Executive Officer of the Company.

2. Took note of and accepted the resignation of Mr. Debshankar Mukhopadhyay (DIN: 08194567) from the position of Managing Director of the Company w.e.f the closing hours of April 23, 2020.
