CLEANSING NOTICE – PLACEMENT TRANCHE 1
Sydney – 4 March 2021 – MPower Group Limited (ASX: MPR)
This notice is given by MPower Group Limited (ASX: MPR) ( Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).
The Company has today completed an issue of 23,000,000 fully paid ordinary shares ( Shares ) to professional and sophisticated investors at an issue price of A$0.085 to raise $1,955,000 ( Placement ).
In respect of the Placement, the Company advises that:

the Company issued the above Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

this notice is being given under section 708A(5)(e) of the Corporations Act;

as at the date of this notice, the Company has complied with:
-
(i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and
-
(ii) section 674 of the Corporations Act; and
-
-
as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act, that is required to be set out in this notice under section 708A(6)(e) of the Corporations Act.
An Appendix 2A in respect of the above securities was released on 4 March 2021.
