NOTICE UNDER SECTION 708A(5) OF THE CORPORATIONS ACT 2001 (CTH) ("the Act")

Tag Pacific Limited (the " Company" ) refers to its announcement on 24 September 2012 regarding the proposed issue of 22,939,447 ordinary fully paid shares in the Company (the" Shares ").

The Company confirms that the Shares were issued on 28 September 2012 as part of the completion of the Integration Proposal with MPower Group Pty Limited.

The Company relies on section 708A(5) of the Act in relation to the issue of the Shares. In accordance with section 708A(5) of the Act, the following information is provided:

• (a) this notice is given within 5 business days after the date of issue of the Shares;

• (b) the issue of Shares was made without disclosure to investors under Part 6D.2 of the Act;

• (c) this notice is given under section 708A(5) of the Act;

• (d) as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company and section 674 of the Act; and

• (e) as at the date of this notice, there is no excluded information to be provided in accordance with section 708A(6)(e) of the Act.

An Appendix 3B with respect to the issue of the Shares was lodged by the Company with ASX on 24 September 2012.
