MPC Container Ships - Allocation of new shares in private placement

Oslo, 21 February 2020 - Reference is made to the announcement made on 14

February 2020 by MPC Container Ships ASA ("MPCC" or the "Company") regarding the

successful completion of the private placement of 7,250,00 new shares raising

gross proceeds of NOK 125 million at a subscription price of NOK 17.25 per share

(the "Private Placement").

The Private Placement was underwritten by Company shareholders Star Spike Ltd.,

a fund managed by STAR Capital Partnership LLP, CSI Beteiligungsgesellschaft mbH

and Pilgrim Global ICAV (the "Underwriters") with NOK 125 million, at a price

equal to the subscription price in the Private Placement.

Star Spike Ltd. has been allocated 1,859,226 new shares in the Private

Placement. After completion of the Private Placement, Star Spike Ltd. will hold

18,205,226 shares in the Company, which represents 19.90% of the Company's

shares and voting rights. CSI Beteiligungsgesellschaft mbH has been allocated

2,673,378 new shares in the Private Placement. After completion of the Private

Placement, CSI Beteiligungsgesellschaft mbH will own 13,660,878 shares in the

Company, which represents 14.93% of the Company's shares and voting rights.

Pilgrim Global ICAV has been allocated 805,556 new shares in the Private

Placement. After completion of the Private Placement, Pilgrim Global ICAV will

own 3,739,770 shares in the Company, which represents 4.09% of the Company's

shares and voting rights.

Following registration of the share capital increase pertaining the Private

Placement with the Norwegian Register of Business Enterprises, the Company will

have a share capital of NOK 915,030,000 divided into 91,503,000 shares, each

with a nominal value of NOK 10.

Please refer to the announcement made on 14 February 2020 for further

information about the delivery of the new shares and the approval of the Private

Placement by the extraordinary general meeting to be held on 9 March 2020 (the

"EGM"). The delivery of the new shares are subject to approval of the Private

Placement by the EGM.
