Intra-group restructuring of shareholdings: Transactions by closely associated persons and disclosure of large shareholding

Oslo, 24 November 2021

The following intra-group transactions have been agreed today in order to

consolidate the shareholdings of the MPC group in MPC Container Ships ASA

("MPCC") in CSI Beteiligungsgesellschaft mbH ("CSI" - being the designated

investment vehicle of the MPC group in MPCC):

MPC Capital AG has agreed to transfer 12,692,633 shares issued by MPCC to CSI as

contribution in kind, and Elbrock GmbH has agreed to transfer 4,932,528 shares

issued by MPCC to CSI as contribution in kind. MPC Capital AG, Elbrock GmbH and

CSI are associated parties and closely associated persons of, among others,

members of the Board of Director of MPCC. Please see the attachment for further

details about the transactions.

Following the transactions, CSI holds 67,552,796 shares in MPCC, representing

15.2% of the shares and voting rights in MPCC, and has consequently exceeded the

15% disclosure threshold.

The aggregate holding of the MPC group in MPCC remains unchanged following the

above transactions, of which 15.2% are now held in CSI.
