NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES AND PERSONS CLOSELY ASSOCIATED WITH THEM

Director/PDMR Shareholding

The Company has been notified of the exercise of share options under the M.P. Evans Group PLC Long Term Incentive Scheme by Mr MH Coulson, director of the Company.  Mr MH Coulson exercised his share options over 10,049 shares of 10 pence per share in M.P. Evans Group PLC ("Shares") granted at nil cost per Share that were due to expire on 21 December 2030 (the "Exercise"). These awards were satisfied out of Shares held by the Trustee of the M.P. Evans Group 2018 Employees' Benefit Trust.

Simultaneously, Mr MH Coulson sold 4,649 Shares at 808p per Share in order to fund the tax and national insurance liabilities resulting from the exercise of the share options (the "Share Sale"). In addition, Mr MH Coulson transferred the remaining 5,400 Shares to Mrs N Coulson, Mr MH Coulson's wife.
