XTD Limited (the Company ) confirms that the following escrow provisions apply to securities of the Company:

Ordinary Securities

15,051,431 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 24 months from the date of quotation.

2,700,011 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 18 June 2014.

10,850,058 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 26 June 2014.

1,450,006 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 1 July 2014.

800,004 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 2 July 2014.

10,400,061 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 10 July 2014.

3,150,013 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 22 August 2014.

1,426,606 fully paid ordinary shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 17 September 2014.

4,050,011 Class A Performance Shares classified as restricted securities by ASX and to be held in escrow for a period of 24 months from the date of quotation.

4,050,011 Class B Performance Shares classified as restricted securities by ASX and to be held in escrow for a period of 24 months from the date of quotation.

4,050,011 Class C Performance Shares classified as restricted securities by ASX and to be held in escrow for a period of 24 months from the date of quotation.

13,500,033 Class D Performance Shares classified as restricted securities by ASX and to be held in escrow for a period of 24 months from the date of quotation.

450,002 Class A Performance Shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 16 December 2014.

450,002 Class B Performance Shares classified as restricted securities by ASX and to be held in escrow for a period of 12 months from their date of issue being 16 December 2014.
