Dezember 1999 — Die Bayer AG und das Muenchner Biotechnologie- Unternehmen MorphoSys AG (Neuer Markt: MOR) gaben heute den Abschluss einer Forschungs- und Lizenzvereinbarung bekannt. Der Wert des Abkommens liegt im zweistelligen Millionen Dollar Bereich und beinhaltet Zahlungen von Bayer an MorphoSys fuer den Technologiezugang sowie jaehrliche Nutzungsgebuehren. Weiter erfolgen Zahlungen und Tantiemen bei Erreichen von festgelegten Zielen wie z.B. aus der Forschung resultierende Antikoerperprodukte. Basis der Vereinbarung ist, die MorphoSys Technologien in verschiedenen Forschungs- und Entwicklungsprogrammen von Bayer einzusetzen. Die zunaechst auf zwei Jahre festgelegte Kooperation kann um vier weitere Jahre verlaengert werden. Es wurde vereinbart, dass Wissenschaftler von MorphoSys mit Wissenschaftlern von Bayer zusammenarbeiten werden. “Das Abkommen ist ein weiterer Fortschritt in der Entwicklung unseres Unternehmens,” sagte Dr. Simon Moroney, Vorstandsvorsitzender von MorphoSys. “Es zeugt von dem grossen Vertrauen, das Bayer, ein Unternehmen, das dafuer bekannt ist, nur die besten Partner fuer seine Forschungs- und Entwicklungsprogramme zu waehlen, in unsere Technologien hat. Unser Ziel ist die Entdeckung neuer Antikoerpertherapeutika.” MORPHOSYS AG AND BAYER SIGN AGREEMENT TO APPLY INNOVATIVE TECHNOLOGY TO ACCELERATE DRUG DISCOVERY Double digit million US dollar investment Martinsried / Leverkusen, Germany — December 22, 1999 — Bayer and MorphoSys AG today announced a research collaboration and licence agreement worth a double digit million US dollar figure to MorphoSys. The agreement provides for MorphoSys’ proprietary technologies to be applied in a number of Bayer’s research and development programmes. Under the terms of the collaboration Bayer will make up-front payments and pay license fees to MorphoSys as well as milestone payments and royalties on any resulting antibody product. The agreement is scheduled to last for two years with an option for Bayer to extend for another four years, and will initially involve MorphoSys scientists working together with Bayer scientists. “The signing of this agreement is a major milestone for us”, commented Dr. Simon Moroney, Chief Executive Officer of MorphoSys. “It is a vote for confidence in our technologies from Bayer, a company which has a reputation for choosing the very best partners for its R&D programmes.
