Mai 2000–Morphosys AG, das deutsche Biotechnologie-Unternehmen, gab heute die Autorisierung zur Kapitalerhoehung durch die Aktionaere bekannt. Der Vorstand wurde auf der gestrigen Hauptversammlung durch eine grosse Aktionaersmehrheit ermaechtigt, das Grundkapital durch Ausgabe neuer Aktien um bis zu 6.350.240 DM zu erhoehen. Die Kapitalerhoehung ist vom Vorstand empfohlen worden, um die erweiterte Geschaeftsstrategie der unternehmenseigenen Medikamenten-Entwicklung bis zur klinischen Phase II zu ermoeglichen. Auch alle anderen zur Beschlussfassung vorgelegten Antraege wurden von den Aktionaeren genehmigt. Insgesamt waren auf der Hauptversammlung des Unternehmens, die am 30 Mai 2000 in Planegg bei Muenchen stattfand, knapp 600 Aktionaere anwesend. MORPHOSYS SHAREHOLDERS APPROVE CAPITAL INCREASE FOR ACQUISITION PURPOSES Munich, Germany, –May 30, 2000–MorphoSys AG, the German biotechnology company, announced today that its shareholders have authorized a capital increase. The board of management was authorised by a comfortable majority at yesterday’s Annual General Meeting to increase the company’s capital by issuing new shares with a total nominal value of up to DM 6,350,240. The capital increase was recommended by the company’s management to enable pursuit of an expanded business strategy which will focus on developing therapeutic antibodies for the company’s own account. The new shares will be used to acquire capabilities that will enable the company to develop compounds through phase II clinical trials. The shareholders also approved all other items on the agenda. In total, approx. 600 shareholders attended the Annual General Meeting, held May 30, 2000 in Planegg / Munich. Ende der Mitteilung
