Market Announcement - Cleansing Notice under section 708A(5)(e) of the Corporations Act 2001(Cth)

Notice:

Morphic Ethical Equities Fund Limited (ASX: MEC) announced on 6 December 2018 confirming the results of a placement of shares to professional and sophisticated investors ( Placement ).

The Placement was offered in accordance with section 708A of the Corporations Act 2001 (Cth) ( Corporations Act ). Today, 6,832,000 fully paid ordinary shares ( Placement Shares ) were issued under the Placement.

For the purposes of section 708A(5)(e) of the Corporations Act,:

1. The Placement Shares were issued to professional and sophisticated investors without disclosure in accordance with Part 6D of the Corporations Act;

2. This notice is given under subsection 708A(5)(e) of the Corporations;

3. As at the date of this notice, MEC has complied with:

   • a. the provisions of Chapter 2M of the Corporations Act as they apply to it; and

   • b. section 674 of the Corporations Act; and

4. As at the date of this notice, there is no excluded information, as defined in subsections 708A(7) and 708A(8) of the Corporations.
