Item 8.01 Other Events.

On January 30, 2009 Moog Inc. (the “Company”) issued a press release announcing that the Company has acquired 70% of the stock of Insensys Ltd. for £11 million in cash. As part of the transaction, Moog has an option to purchase the remaining 30% within one year. Insensys is a leading supplier of pitch control and rotor blade monitoring systems for wind turbines. Insensys had 2008 revenues of £5.2 million.
