Item 8.01 Other Events.

On May 28, 2008, Moog Inc. issued a press release announcing the pricing of its offering of $200 million in aggregate principal amount of 7¼% senior subordinated notes due 2018. The information contained in this press release, which is filed as exhibit 99.1 to this Current Report in Form 8-K, is incorporated herein by reference.

This offering does not affect Moog’s most recent financial guidance for the 2008 fiscal year as communicated in its Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on May 5, 2008. Moog reaffirms its financial guidance for the 2008 fiscal year communicated in that Quarterly Report.
