Item 2.02 Results of Operations and Financial Condition

On January 28, 2014, Monro Muffler Brake, Inc. (the “Company”) issued a press release announcing its operating results for the third quarter ended December 28, 2013, as well as revised estimated fourth quarter and fiscal 2014 comparable store sales growth and diluted earnings per share. A copy of the press release, which includes updated guidance, is furnished herewith as Exhibit 99.1.
