In connection with his resignation from the Board, the Compensation Committee of the Board authorized the accelerated vesting of 308 restricted stock units ("RSUs"), representing a pro-rata portion of the RSUs granted to him on February 26, 2020 in connection with his appointment as a director of the Issuer (the "Director RSUs"). The remaining 1,743 Director RSUs were forfeited, effective as of his resignation date.
