MONDO TV: Conversione di un bond da parte di CLG Capital

12 luglio 2024 – Mondo TV ha ricevuto da CLG Capital una richiesta di conversione (la "Richiesta") di uno dei 12 bond emessi in data 19 dicembre 2023, (cfr. comunicato stampa in pari data), per un valore nominale complessivo pari ad euro 125.000.

L'emissione si è svolta nell'ambito dell'accordo di investimento approvato dalla assemblea dei soci della Società come da comunicato stampa dell'11 dicembre 2023, cui si rinvia - con il quale CLG Capital si è impegnata a sottoscrivere, direttamente o tramite un soggetto eventualmente designato ai sensi del Contratto, in più tranches e solo a seguito di specifica richieste di sottoscrizione formulate dalla Società 60 bond convertibili in azioni per un valore di Euro 125.000 ciascuno (i "Bond").

Essendo stati emessi ad oggi 24 Bond, residuano ancora 36 Bond da emettere. Si rammenta che dei 24 Bond emessi, residuano ad oggi 1 Bond relativo alla prima tranche ancora da convertire e tutta la seconda tranche pari ad ulteriori 12 bond.

Il numero di azioni oggetto della conversione è stato determinato in conformità al dettato contrattuale sulla base del 92% del prezzo medio ponderato dei prezzi per volume delle transazioni qualificanti rilevate da Bloomberg durante tre giorni di borsa selezionati da CLG Capital all'interno di un periodo di 15 giorni consecutivi di borsa aperta precedenti la ricezione della Richiesta. Il prezzo così determinato è risultato essere pari a Euro 0,17670 per azione: pertanto i Bond oggetto di conversione danno diritto a sottoscrivere 707.408 azioni ordinarie Mondo TV pari a circa l'1% del capitale sociale attualmente in circolazione.

Il valore per azione risultante sul patrimonio netto della Società al 31 dicembre 2023, come risultante dalla relazione finanziaria approvata dal Consiglio di Amministrazione in data 25 marzo 2024, risulta essere:

Mondo Tv informa che le 707.408 azioni spettanti a CLG Capital, per effetto della conversione sopra descritta del valore di euro 125.000, sono state oggetto di prestito da parte del socio di maggioranza Giuliana Bertozzi in favore di CLG Capital come previsto dall'accordo del 20 novembre 2023, (vedasi a tal proposito quanto già precedentemente comunicato in data 04 luglio).

Pertanto la sottoscrizione e l'emissione delle azioni corrispondenti è posticipata alla data di chiusura del prestito, ad oggi non ancora stabilita.

In conseguenza di quanto sopra indicato rimane invariato il numero di azioni in circolazione ed il relativo capitale sociale, che ammontano rispettivamente a 65.311.952 e ad euro 22.258.059

MONDO TV: One bond has been converted by CLG Capital LLC

July, 12 2024 - Mondo TV has received from CLG Capital a request for conversion (the "Request") of one of the 12 bonds issued on 19 December 2023, (see press release on the same date), for a total nominal value of €125,000.

The issue took place within the scope of the investment agreement approved by the Company's shareholders' meeting as per the press release of 11 December 2023, to which reference should be made - with which CLG Capital committed to underwriting, directly or through a subject possibly designated pursuant to the Contract, in several tranches and only following specific subscription requests formulated by the Company, 60 bonds convertible into shares for a value of Euro 125,000 each (the "Bonds").

Since 24 Bonds have been issued to date, there are still 36 Bonds to be issued. Please note that of the 24 bonds issued, to date there remains 1 bond relating to the first tranche still to be converted and the entire second tranche equal to a further 12 bonds.

The number of shares subject to the conversion was determined in accordance with the contractual provisions on the basis of 92% of the weighted average price of the prices by volume of the qualifying transactions detected by Bloomberg during three trading days selected by CLG Capital within a period of 15 consecutive trading days prior to receipt of the Request. The price thus determined was found to be equal to Euro 0.17670 per share: therefore the Bonds being converted give the right to subscribe to 707,408 Mondo TV ordinary shares equal to approximately 1% of the share capital currently in circulation.

The value per share resulting from the Company's net equity as of 31 December 2023, as resulting from the financial report approved by the Board of Directors on 25 March 2024, is:

Mondo TV informs that the 707,408 shares belonging to CLG Capital, as a result of the conversion described above worth 125,000 euros, were loaned by the majority shareholder Giuliana Bertozzi in favor of CLG Capital as provided for in the agreement of 20 November 2023, (see in this regard what was previously communicated on 4 July).

Therefore the subscription and issue of the corresponding shares is postponed to the closing date of the loan, which has not yet been established to date.

As a consequence of the above, the number of shares in circulation and the related share capital remain unchanged, which amount to 65,311,952 and 22,258,059 euros respectively.
