COMUNICATO STAMPA MONDO TV: Comunicazione di variazione del capitale sociale

25 luglio 2018 – Mondo TV S.p.A. comunica, ai sensi dell'art. 98 della delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e dell'art. IA.2.3.4 delle Istruzioni Borsa Italiana S.p.A., la nuova composizione del capitale sociale interamente sottoscritto e versato, a seguito delle emissioni di nuove azioni in virtù delle conversioni operate da Atlas, nell'ambito dell'accordo di investimento con la medesima approvato dalla Società come da comunicato stampa del 18 aprile 2018.

A seguito delle conversione di bond come da comunicati pubblicati nelle date rispettivamente del 25, 26, 28 e 29 giugno 2018, nonché del 4, 6, 9 e 19 luglio 2018 sono state emesse nuove azioni ordinarie del valore nominale di euro 0,50 ciascuna, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data della loro rispettiva emissione.

L'attestazione dell'avvenuta esecuzione dell'aumento di capitale sociale è stata depositata nei termini di legge presso il Registro delle Imprese di Roma (ex articolo 2444 del Codice Civile) e il nuovo capitale sociale risulta così composto.

PRESS RELEASE MONDO TV: Notification of Change of Company's capital

25 July 2018 – Pursuant to Section 98 of CONSOB decision n. 11917 dated May 14, 1998 and section IA.2.3.4 of the Instructions to the Market Regulation issued by Borsa Italiana S.p.A., Mondo TV S.p.A. (the "Company") informed about the new Company's capital, issued and paid, in connection with the issue of new shares subsequent to the conversions made by Atlas Special Opportunities within the investment agreement with the same approved by the Company as per press release dated 18 April 2018.

Upon the conversions communicated respectively on last 25, 26, 28 and 29 June 2018 and on 4, 6, 9 and 19 July 2018, new ordinary shares have been issued, each of nominal value equal to Euros 0,50, having the same characteristics and rights of those already circulating at the date of its issuing.

The relevant declaration pursuant to section 2444 of the Italian Civil Code has been filed within the legal terms, with the Company' Register in Rome and the company's capital is as follows:

It is highlighted that the first tranche of bonds issued last 21 June 2018 has been fully converted.
