5.5. All the agreements except those concerning the routine transactions necessary for the administration of the Company, shall be sent to the Legal Counsel for legal review and written approval, before their submission for signing. In addition, if the agreements include aspects in relation to fiscal or tax law, they shall be sent to the Finance department for being examined with the financial counsellor and their approval shall be received.

6. NON-COMPLIANCE WITH THE INTERNAL DIRECTIVE

Company may suffer due to the unauthorized use of management and representation authority delegated by the Board of Directors in violation of the law, the Company's articles of association, and/or this Internal Regulation, shall be recovered and compensated from the commercial proxy/proxies who used their management and representation authority in violation of the law, the Company's articles of association, and/or this Internal Regulation, in accordance with the first paragraph of Article 371 of the TCC.
