• a. fix day, date, time and venue for convening the 28[th] Annual General Meeting of the Company and approval of the draft Notice thereof;

• b. fix the Cut-off/Record date for the purpose of sending notice and payment of Final dividend for the Financial Year 2024-25, if declared, at the 28[th] AGM and e-voting for the said AGM;

• c. fix the period of Book Closure for the purpose of payment of Final Dividend for the Financial Year 2024-25;

• d. consider and approve the draft Directors’ Report along with its Annexures for the Financial Year ended on March 31, 2025;

• e. appoint the Scrutinizer to scrutinize the e-voting/remote e-voting at the ensuing 28[th] AGM in a fair and transparent manner.
