MOL closes divestment of service stations to ORLEN Unipetrol in Hungary and Slovakia

MOL Plc. ("MOL") hereby notifies market participants of the following:

MOL has successfully closed transactions with ORLEN Unipetrol and Norm Benzinkút Ltd. in line with the announcements made on the 12th January, 2022.

As part of the transactions MOL divests 143 stations in Hungary and 39 stations in Slovakia. The divested stations in Hungary are expected to be handed over to ORLEN Unipetrol in several rounds: 79 stations in Hungary upon closing, Slovakian handover to happen until the end of H1 2023, while remaining stations in Hungary to be handed over until the end of H1 2024. The agreed total consideration amounted to EUR 229mn, which will be paid in line with the progressing handover process. The consideration is subject to customary adjustments.

In parallel MOL also completed the purchase of Normbenz Hungary Ltd. possessing 79 service stations in Hungary.
