NOTICE OF EXTRAORDINARY GENERAL MEETING

NOTICE IS HEREBY GIVEN that an extraordinary general meeting of Beijing Datang Power Generation Company Limited (the "Company") will be held at 9:00 a.m. on 29 September, 2000 at Kunming Hotel, Kunming, Yunnan Province, People's Republic of China ("PRC") to consider and, if thought fit, to pass the following resolution:

ORDINARY RESOLUTIONS

  1. "THAT the entry into of the acquisition agreement in relation to Unit 2 and parts of the common facilities of Phase I of Zhang Jia Kou Power Plant by the Company with China Huaneng Group Company (the "Agreement") be and is hereby approved, AND THAT the Board of Directors of the Company be and is hereby authorised to do all such things for the purpose of acquiring Unit 2 and parts of the common facilities of Phase 1 of Zhang Jia Kou Power Plant."

  2. "THAT the appointment and resignation of directors be and is hereby approved."

Notes:

(A) Holders of the Company's overseas listed foreign invested shares (in the form of H shares) are reminded that pursuant to Article 38 of the Articles of Association of the Company, the register of members of the Company's H shares will be closed from 30 August, 2000 to 28 September, 2000, both days inclusive, during which period no transfer of H shares will be registered. Holders of the Company's H shares, whose names appear on the Company's Register of Members on 29 September, 2000 are entitled to attend the Extraordinary General Meeting and to vote thereat.

(B) Any holders of the Company's shares entitled to attend and vote at the Extraordinary General Meeting is entitled to appoint one or more proxies to attend and vote on his behalf. A proxy need not to be a shareholder of the Company.

(C) Where a shareholder appoints more than one proxy, his proxies may only vote in a poll.

(D) To be valid, the form of proxy form for the use of shareholders and, if such proxy is signed by a person on behalf of the appointer pursuant to a power of attorney or other authority, a notarially certified copy of that power of attorney or other authority must be delivered to the Company at 8/F, No. 482 Guanganmennei Avenue, Xuan Wu District, Beijing, People's Republic of China not less than 24 hours before the time appointed, for holding the Extraordinary General Meeting.

(E) Shareholders who intend to attend the Extraordinary General Meeting are required to send the Notice of Attendance whether by hand, post, cable or fax to the office of the Company at its registered address on or before 8 September, 2000. Completion and return of the Notice of Attendance will not affect the right of shareholders to attend the Extraordinary General Meeting.

(F) The Extraordinary General Meeting is expected to last for one day, shareholders and proxies attending the Extraordinary General Meeting shall be responsible for their own transportation and accommodation expenses.
