Our Company's Board of Directors took the following decisions at its meeting dated November 27, 2025, in accordance with the Capital Markets Board's Communiqué on Debt Instruments numbered II-31.1 and other relevant regulation; Our Company will be authorized to apply to the Capital Markets Board regarding the issuance of debt instruments to with a nominal amount up to 20,000,000,000 TL (Twenty Billion Turkish Liras), maturity up to 5 (five) years, denominated in Turkish Lira, to be sold without public offering to qualified investors in the domestic market, Türkiye Sınai Kalkınma Bankası A.Ş. have been authorized to handle the sale to qualified investors and intermediary activities. In this regard, it has been decided to submit an application to the Capital Markets Board for the issuance, based on the issuance document to be approved by the Capital Markets Board, for the planned issuances. Pursuant to the relevant Board of Directors' resolution, the application submitted by our Company to the Capital Markets Board has been approved. The relevant application form is attached. This statement has been translated into English for informational purposes. In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
