Metalcorp Group B.V. – Cross border conversion

Amsterdam, 22 October 2018 – Metalcorp Group B.V., a private limited liability company under Dutch law (besloten vennootschap met beperkte aansprakelijkheid), having its official seat in Amsterdam, the Netherlands, its office address at Orlyplein 10, Crystal Tower, 20th floor, 1043 DP Amsterdam and registered in the Dutch Commercial Register under number 34189604 (the Company), has resolved to conduct a cross border conversion of the Company into a public company under the laws of the Grand Duchy of Luxembourg (Société Anonyme), whereby the legal form of the Company will be converted into the aforementioned public Company under the laws of the Grand Duchy of Luxembourg. The conversion is expected to be implemented on or about 1 November 2018. The position of creditors and employees should not be negatively affected as a consequence of the cross-border conversion. No assets, liabilities or legal relationships of the Company will be transferred pursuant to the cross-border conversion. The cross-border conversion as such does not affect the composition or value of the Company's assets and liabilities.
