Confirmation of Dividend in Specie

MJ Gleeson PLC (the "Company") announces that MJ Gleeson Group Limited (formerly MJ Gleeson Group Public Limited Company) has, as envisaged by the Proposals set out in the Circular to Shareholders dated 4 November 2014 (the "Circular"), declared and paid a cash dividend and a dividend in specie of certain of its interests in MJ Gleeson Group Limited's Non-Legacy Businesses, comprising both shares in certain companies and a limited number of assets to the Company.  The structure of the MJ Gleeson Group is now as envisaged in the Circular after the Dividend in Specie.

Defined terms used in this announcement have the same meanings as those used in the Circular.
