The Company hereby announces that the National Licensing Authority has completed the licensing process and issued to the Company

HaMeuchad Kesem Energy Ltd. (Kesem Energy), the building permit for the Kesem Power Station.

The building permit was issued after the payment to Israel Land Authority (ILA) was made for the allocation of land for the construction of the power station, in accordance with the uniform price determined in ILA Decision 5687

of November 6, 2024 (300,000 NIS plus VAT for each 1 MW (megawatt) installed). The payment was made by Kesem Energy by means of a bridging loan (from a credit line provided to Kesem Energy), until the expected nancial closing of the project.
