Pursuant to Regulation-30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company at its meeting held on today i.e. 25[th] April, 2024 approves the appointment of “SPP & Associates”, Practicing Company Secretaries as the Scrutinizer to conduct postal ballot and scrutinise the e-voting process, seeking the approval of the Members of the Company for Shifting the registered office of the company from Hubli in the State of Karnataka to Hyderabad in the State of Telangana and for Obtaining unsecured Loan from Directors of the company, beyond the specified statutory limits, for working capital purpose.
In this regard, please find enclosed the Appointment Letter issued to SPP & Associates appointing them as the Scrutinizer and the copy of Consent Letter received from SPP & Associates to act as the Scrutinizer, to conduct the postal ballot and scrutinise the e-voting process.
